Lemon Tree Hotels Announces Strategic Reorganisation with ₹960 Cr Investment

Warburg Pincus backs new asset-light management arm as Lemon Tree restructures operations.

Lemon Tree Hotels restructuring has unveiled a major corporate reorganisation, splitting its business into two distinct verticals: an asset-light management company and an asset-heavy development arm. The move is backed by a ₹960 crore investment from Warburg Pincus, which will hold a 41% stake in the new management entity.

Lemon Tree Hotels restructuring  aims to unlock greater operational efficiency and scalability. The asset-light arm will focus on hotel operations, brand expansion, and management contracts, while the development arm will handle real estate and capital-intensive projects. The shift mirrors global hospitality trends where companies separate ownership from operations to drive growth and investor confidence.

Chairman and MD Patu Keswani emphasised that the reorganisation will help Lemon Tree expand faster across India and international markets, leveraging its strong brand equity and operational expertise. The deal is expected to close by March 2026, pending regulatory approvals.

In a regulatory filing on January 9, Lemon Tree Hotels said its board approved a Composite Scheme of Arrangement, along with the execution of agreements that will see Warburg Pincus acquire APG’s entire 41.09% stake in Fleur Hotels.

Fleur Hotels is currently a subsidiary of Lemon Tree Hotels. Post the transaction and completion of regulatory approvals, Fleur will be listed as a separate entity on Indian stock exchanges. The listing process is expected to be completed within 12 to 15 months.

Industry analysts view this as a transformative move that positions Lemon Tree for long-term growth, especially in mid-market and upscale segments.
